1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and NousHub Technologies Inc. ("NousHub", "we", "us", or "our"). By accessing or using our platform at noushub.vercel.app, creating an account, connecting email mailboxes, or uploading documents, you agree to be bound by these Terms.

If you are agreeing to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

NousHub provides an autonomous inbound email operations, lead qualification, and response drafting system. Key capabilities include:

• Inbound email synchronization via Google OAuth and Gmail APIs.
• Intent classification, priority scoring (1–100), and heuristic noise filtering.
• Retrieval-Augmented Generation (RAG) using customer-uploaded Knowledge Base documents.
• AI-powered response draft synthesis and customizable review queue workflows.
• Configurable execution modes: draft_only (human approval required) and autonomous_dispatch (safety gate enforced).

3. Account Registration & Security

You must provide accurate, current, and complete information during registration. You are responsible for safeguarding your login credentials and for any activities or actions under your account. You agree to notify us immediately of any unauthorized access or breach of security.

5. Acceptable Use Policy

You agree not to use the platform to:

• Send unsolicited commercial email (spam) or engage in deceptive phishing operations.
• Transmit malware, viruses, or any code designed to disrupt or harm computer systems.
• Violate the rights of third parties, including copyright, trademark, or privacy rights.
• Circumvent rate limits, reverse engineer the backend, or probe security vulnerabilities.
• Violate Google's Acceptable Use Policies or Gmail terms of service.

6. AI-Generated Content & Operator Responsibility

NousHub uses advanced large language models to assist operators in responding to inbound inquiries. While our RAG engine enforces strict citation grounding:

• AI responses are suggestions intended to accelerate human workflow. In draft_only mode, operators review and approve all outbound emails.
• In autonomous dispatch mode, you acknowledge that you have reviewed and configured your safety thresholds, rules, and Knowledge Base collateral appropriately.
• You remain responsible for the commercial commitments, contracts, and quotes dispatched from your connected mailboxes.

7. Subscriptions, Fees & Cancellations

NousHub offers free trials, Growth tiers, and Enterprise subscriptions. Subscription fees are billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time through your workspace settings; cancellation takes effect at the end of the current billing cycle.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOUSHUB TECHNOLOGIES INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO NOUSHUB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration or in state/federal courts located in Delaware.
